Terms of Service

These Terms of Service ("Terms") govern your use of ideaboxd - the website and the iOS, Android, and web app that let you capture ideas and shape them into plans (the "Service"). Please read them before creating an account or making a purchase. You can browse the marketing site and use the limited guest mode without accepting these Terms; creating an account, and any purchase, requires accepting them.

This is a good-faith, implementation-accurate baseline, not legal advice. Passages in [square brackets] are placeholders for company details to be completed before launch. Have a Dutch consumer-law / privacy specialist review before a commercial launch.

1. Who we are

The Service is provided by Aurenix Creative Labs (eenmanszaak), established in the Netherlands (The Hague; Chamber of Commerce (KvK) 98214292; VAT NL235640177B01) ("we", "us", "ideaboxd"). You can reach us at hello@aurenix-cl.com for any question about these Terms, your account, or a complaint. We aim to answer complaints within a reasonable time and, where relevant, point you to the options in section 17.

2. Scope and acceptance

These Terms apply to the whole Service on every platform. You accept them when you tick the consent box while creating an account (by email or with Google or Apple), and again each time you confirm a purchase. Continued use of a paid feature after we have given notice of a material change (section 12) also counts as acceptance of the changed Terms. Guest mode (section 4) is offered under these Terms too, but does not by itself create an account or a contract for paid features. The consent box is not pre-ticked, and accepting the Terms is kept separate from any optional choice such as marketing or AI use.

3. Eligibility

You must be at least 16 years old to create an account, which is the age at which you can consent to online services on your own in the Netherlands. If you are younger, a parent or legal guardian must agree to these Terms and manage the account for you. By creating an account you confirm you can enter into this agreement and that the details you give us are accurate and kept up to date. The Service is a general-audience thinking-and-planning tool; it is not directed at children.

4. Guest mode and accounts

You can try the Service in guest mode without an account. In guest mode your ideas are stored only in your browser or app on this device - they are not uploaded to us and are not synced or backed up. Clearing your browser or app data, switching devices, or reinstalling will lose guest ideas. Guest mode is limited to one idea: you can capture a single idea and develop it fully - edit it, add notes, build a plan and mark it ready. Creating further ideas, deleting or archiving that idea, AI drafting, syncing across devices, exporting, cloud backup, and purchases require an account. The seeded example ideas shown in guest mode are read-only demonstration content. When you create or sign in to an account on a device that has guest ideas, those ideas are adopted into your account so nothing you wrote is lost. An account needs a verified email (for email sign-up) or a Google/Apple sign-in. You are responsible for keeping your credentials safe and for activity under your account; tell us at hello@aurenix-cl.com if you suspect unauthorised access. Account recovery depends on access to your email or your Google/Apple identity - we cannot recover an account without them.

5. Your content and the licence you give us

Your ideas, notes, reflections, plans, and versions are yours and stay yours. To run the Service for you, you grant us a limited, non-exclusive licence to host, store, sync, back up, display, and export your content, and - only when you ask for it - to send the relevant parts to our AI provider to generate a draft (section 6). This licence exists solely to operate the Service and lasts only as long as needed for that purpose; we do not claim ownership of your ideas, we do not sell your content, and we do not use it to build advertising profiles. You are responsible for what you upload: keep it lawful, do not infringe others’ rights, and do not include content you have no right to store or share. After you delete an idea or your account, your content is handled as described in section 13 and in the Privacy Policy.

6. AI features (optional)

"AI Refine" is an optional feature, available on Pro. It only runs when you actively trigger it, and the first time you use it we show a short in-app notice explaining what is sent and ask you to confirm. The rest of the Service works fully without ever using AI: capturing ideas, the guided questions in the Refine step, promoting parts of your note into plan sections, planning and exporting all run without any AI involvement and are available without Pro. In particular, the guided questions are produced by ordinary logic running in the app, from which of the essential parts of a plan your idea already contains; no model is called and nothing is sent anywhere to generate them. When you use it, the relevant parts of your idea (your original note, your reflections and plan sections, and the open questions being addressed) are sent to our AI provider, Google, over the paid Gemini API to generate short draft answers. Those drafts are shown to you as editable suggestions - nothing is added to your plan automatically, and you decide what to keep or discard. AI output can be inaccurate, incomplete, or unsuitable, and similar suggestions may be generated for other users; review it before relying on it. It is not professional, legal, financial, medical, tax, or investment advice. Do not submit confidential information belonging to others unless you are allowed to. Under Google’s Gemini API terms for paid services your input and the generated output are not used to train its models and are retained only briefly to run the request and for safety monitoring; the Privacy Policy (section 6) sets out the data handling, retention, and the international-transfer basis. AI Refine is part of Pro and is not charged per use; credits do not buy drafts (section 7). If a request fails, nothing is charged and nothing is added to your idea.

7. Plans, credits, and what each one gives you

Free: keep up to 3 ideas at once; your first 3 ideas are free, and each additional idea beyond that needs one credit (earned by watching a rewarded video where available, or bought as a bundle). Credit bundles (one-time): buy 5, 10, or 20 credits; one credit lets you create one extra idea beyond your first three. Credits do not buy AI Refine drafts: AI Refine is part of Pro. Ad-free (one-time purchase): removes rewarded ads and lets you create freely within the 3-idea cap, without spending credits. Pro (subscription, monthly or yearly): unlimited ideas, no ads, and the optional AI Refine assistant. AI Refine is available on Pro only; every other part of the Service (capturing, refining, shaping and planning your ideas, and exporting them) works on the free tier without it. When a credit is used: a credit is consumed at the moment you create an extra idea, and only then. Deleting an idea frees one of your 3 active slots, so you can create another within the free allowance; it does not refund a credit you already spent. Credits do not expire, cannot be transferred between accounts or converted to another product, and have no cash value. When Pro ends: if a Pro subscription lapses, is cancelled, or its trial ends without payment, your account returns to the free tier - your existing ideas are not deleted and stay readable and exportable, but creating new ideas again follows the free-tier limits (the 3-at-once cap and credits), AI Refine is no longer available, and rewarded ads return unless you have bought ad-free. Any credits you had bought remain usable. After a refund or reversal: if a purchase is refunded, reversed, or charged back, the matching credits, subscription time, or ad-free access are withdrawn to reflect it (section 10). On account deletion, unused credits are lost and are not refundable except where the law requires. Prices and exact contents are always shown in the app before you confirm a purchase.

8. Subscriptions, renewals, and cancellation

Pro is a recurring subscription that renews automatically - monthly or yearly - until you cancel. A new Pro subscription may include a free trial (currently 7 days); if you do not cancel before the trial ends, it converts to a paid subscription at the price shown. You can cancel at any time; cancellation stops the next renewal and you keep Pro until the end of the period you already paid for. Where you buy and how you cancel depend on your platform (section 9). One-time purchases (credit bundles, ad-free) are not subscriptions and do not renew. We do not control app-store cancellation timing or refunds - those follow Apple’s or Google’s rules.

9. How purchases differ by platform

On the web, purchases are handled by Stripe. Manage or cancel a web subscription by contacting us at hello@aurenix-cl.com; signing in restores what you have already bought. On iPhone/iPad and Android, purchases go through Apple’s App Store or Google Play (via RevenueCat). Manage, cancel, restore, or request a refund for a store purchase through your Apple or Google account settings, or the in-app "Manage subscription" screen where available; those purchases are also subject to Apple’s or Google’s terms. Rewarded ads, where offered, are always an intentional action you take - you are never charged for them.

10. Prices, taxes, and payment

Prices are shown in the app or store before you confirm and, where required, include applicable VAT. The exact amount can depend on your platform, country, taxes, currency, and store policies, so the price you see at checkout governs. Payment is processed by Stripe (web) or by Apple/Google (mobile); we do not receive or store your full card details. If a payment fails, is reversed, or is charged back, we may withhold or revoke the related credits, subscription, or ad-free access. Receipts and invoices are provided by the payment provider or store that processed the payment.

11. Your right of withdrawal (EU consumers)

As an EU consumer you normally have 14 days to withdraw from a purchase. Because our paid features are digital content and services supplied immediately, when you buy you are asked to expressly agree that we start straight away and to acknowledge that you thereby lose the 14-day right of withdrawal once the content is fully supplied - this is required for the purchase to take effect immediately. Where the right still applies, you can exercise it within 14 days by contacting hello@aurenix-cl.com (you may use the model withdrawal form), and for a qualifying direct web purchase you can use the online withdrawal option we provide; we will send an acknowledgement and refund any amount due without undue delay. App-store purchases follow Apple’s or Google’s refund routes. Withdrawal is different from simply cancelling a subscription’s future renewals (section 8). None of this removes your mandatory statutory consumer rights.

12. Availability, updates, and changes

We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free: there may be maintenance, outages, security updates, and changes to features, and a feature may be added, changed, or discontinued. Using the Service needs a compatible, up-to-date device and, for anything beyond local guest use, an internet connection - keeping those is your responsibility. We may change these Terms or the Service for good reasons (for example legal or security requirements, a new feature, or a provider change). We give reasonable advance notice of material changes and a clear effective date, in the app or by email. If a material change to an ongoing paid service is to your disadvantage, you may cancel it. Your mandatory consumer rights are unaffected.

13. Suspension, termination, and deletion

You can delete your account at any time from your profile. Deleting removes your profile, ideas, plans, history, and entitlements from our live systems; residual copies may persist briefly in encrypted backups and in logs before they age out, and records we must keep by law (such as payment and tax records) are retained as described in the Privacy Policy. Deleting your account does not automatically cancel a Pro subscription bought through Apple, Google, or Stripe - cancel that separately (section 9), or you may keep being billed. Unused credits are lost on deletion. To limit abuse of the free tier, a one-way hash of your email is kept for 12 months after deletion (see the Privacy Policy). We may suspend or terminate an account for good cause - for example serious or repeated breach of these Terms, fraud, a security threat, unlawful or infringing content, or unpaid amounts - with notice where reasonable, or immediately where necessary to protect users or the Service. Where reasonably possible we will let you export your data first (section 5).

14. Intellectual property

The ideaboxd software, name, branding, interface, and documentation are ours or our licensors’ and are protected by law; these Terms grant you a personal, non-transferable right to use the Service, nothing more. You keep all rights in your own content (section 5). If you send us feedback or suggestions, you allow us to use them to improve the Service without obligation to you. Except where mandatory law allows it, do not copy, resell, scrape, reverse engineer, or otherwise misuse the Service or its content.

15. Your statutory rights

As a consumer you have mandatory rights under EU and Dutch law - including rights concerning the supply and conformity of digital content and services, security updates, and remedies such as repair, a price reduction, termination, or a refund where the Service is faulty. Nothing in these Terms limits or excludes any right that cannot lawfully be limited or excluded. Where a term conflicts with your mandatory rights, those rights prevail.

16. Liability

The Service is provided with reasonable care but "as is" to the extent the law allows. Nothing in these Terms limits our liability for intent, deliberate recklessness, death or personal injury, fraud, breaches of data-protection obligations where liability cannot be excluded, or any other liability that cannot lawfully be limited - and your mandatory consumer rights (section 15) always stand. Subject to that, we are not liable for indirect or consequential loss, or for loss of data you could reasonably have kept a copy of, and for paid features our aggregate liability is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

17. Governing law and disputes

These Terms are governed by Dutch law, without depriving you of the mandatory consumer protections of your country of residence. Please contact us first at hello@aurenix-cl.com so we can try to resolve any problem. If we cannot, the dispute may be brought before the competent court; as an EU consumer you may also use any dispute-resolution or small-claims options available to you under applicable law. Disputes about an app-store purchase may also involve Apple’s or Google’s processes.
